Terms of Purchase Shipping and Returns

Last updated October 8, 2026

These Terms govern purchases of merchandise, customized products, printing, embroidery, engraving, and related design services from Gradus, LLC, operating as Gradus Marketing Group (Gradus, we, us, or our), through gradusmg.com or a quotation that expressly incorporates these Terms. Our business operates in Elk Grove, California. These Terms apply to orders for delivery within the United States.

  1. Seller information and contact

Seller: Gradus, LLC, operating as Gradus Marketing Group. Business disclosure address: 109 East 17th Street, Suite 510, Cheyenne, WY 82001. Contact us at https://gradusmg.com/contact/. Include your order number when available.

You may request an emailed copy of our legal name, disclosure address, and return and refund policy through that contact form. We will provide the requested information within five days. Contact us at https://gradusmg.com/contact/ for return instructions before sending merchandise; a production partner’s address on a package may not be our return address.

  1. Agreement and eligibility

By checking the acceptance box at checkout or expressly accepting a quotation that links to these Terms, you agree to these Terms. You must have legal capacity to enter a contract and be at least 18 or the age of majority where you live, whichever is higher. A person ordering for an organization represents that they are authorized to bind it.

The product description and order details presented before purchase form part of the agreement. A written quotation expressly accepted by both parties controls any different order-specific specifications, prices, or schedules. These purchase Terms control any conflict with our general website terms concerning purchases, product warranties, refunds, liability, or purchase disputes. Rights that applicable law does not allow a customer to waive remain in effect.

  1. Orders and acceptance

Review quantities, sizes, colors, personalization, artwork, shipping details, and deadlines before ordering. An automated receipt acknowledges your submission. We accept an order when we expressly confirm acceptance or begin fulfillment, whichever occurs first.

Before acceptance, we may decline an order because of unavailable products, a material listing error, payment or fraud concerns, or an unlawful or unauthorized customization request. We will notify you and refund any payment for a declined order. After acceptance, any cancellation or material change by us is subject to your contractual and legal rights. We will not substitute a different product, material, color, or quantity without your agreement.

  1. Prices taxes and payment

Prices are in United States dollars unless expressly stated otherwise. The advertised price includes mandatory charges to the extent required by law. Applicable government taxes and reasonable shipping charges may be shown separately. Any optional design, sample, rush, or other service must be disclosed and selected or approved before it is charged.

Payment is due at checkout unless an accepted quotation specifies a deposit or payment schedule. You authorize the disclosed charges using a payment method you are entitled to use. Tax exemption requires valid documentation accepted before the exemption is applied. A wholesale price alone does not establish a tax exemption.

If we identify a pricing error before acceptance, we will explain the correction and obtain your approval or cancel and refund the order. We will not charge a higher amount without your authorization. We may pause unpaid work after notifying you, subject to any applicable cancellation and refund duties.

  1. Customer artwork and permissions

You are responsible for having the rights and permissions needed to reproduce the artwork, logos, text, photographs, names, and likenesses you supply and for your intended use of the finished products. We may request evidence of permission or decline content that reasonably appears unlawful or infringes another person’s rights.

You retain ownership of your materials. You grant us a nonexclusive permission to reproduce, adapt for production, store, and share them with service providers only as needed to quote, fulfill, support, and document your order. We will obtain your separate permission before using your custom artwork or identifiable order in our advertising or portfolio.

  1. Proofs and production approval

When a proof is provided, review all spelling, names, dates, quantities, dimensions, placement, colors, and artwork. Test any QR code, website address, or other functional element. Written approval, including approval by email or an approval tool, authorizes production of the approved version. Silence does not count as approval.

Where the product page clearly states that production uses your submitted file without a separate proof, placing the order approves that submitted file. Otherwise, we will obtain approval before producing customized goods. We are not responsible for a customer error accurately reproduced from an approved proof or file. This does not excuse an error we introduce, a material departure from the approved specification, or a defective product.

Additional artwork preparation or revisions outside an agreed scope require your approval of any added price and revised schedule. Delayed approvals can affect timing, but they do not eliminate the delay notice and refund protections in these Terms.

  1. Product appearance sizes and quantities

Screen colors and digital mockups are approximations. Materials, decoration methods, and production batches can cause minor variations in color, texture, dimensions, and placement. Any stated tolerances must be disclosed before purchase. These variations do not excuse a material difference from the product description, approved proof, or agreed specifications.

Consult the product’s size chart and care instructions. Exact color matching or a physical sample must be agreed upon before production if required. We will fulfill the quantity ordered unless you approve a different quantity and corresponding price. A shortage or materially incorrect size is handled as an order problem, not a change of mind.

  1. Changes and cancellations

To request a change or cancellation, contact us promptly at https://gradusmg.com/contact/. A request does not stop production until we confirm that it can be implemented. Before custom production begins, we will accept cancellation and refund merchandise charges, except for separately agreed design or setup services already performed and lawfully chargeable. We will identify those services and charges.

Once custom production begins, voluntary cancellation, size changes, artwork changes, and quantity reductions may no longer be possible. Any change we can accommodate requires agreement on its price and schedule. This restriction does not limit your rights when we fail to ship as required, supply defective or incorrect merchandise, breach an agreed obligation, or must provide a refund under law.

  1. Design services and deliverables

The accepted quotation or service description defines the design work, included revisions, delivery formats, and schedule. Additional concepts, revisions, or formats require a separate agreement. Completed design work is not refundable merely because you change your plans, but your remedies for work that does not meet the agreement remain available.

Unless a signed agreement grants different rights, full payment gives you a perpetual, worldwide, nonexclusive right to use the approved final deliverables for their agreed commercial purpose, including reproduction on merchandise where that is the agreed purpose. Copyright ownership, exclusivity, editable source files, and unused concepts are not transferred unless expressly included in a written agreement. Your preexisting materials remain yours. Third-party fonts, stock images, or other licensed elements remain subject to their disclosed license restrictions. We do not promise trademark availability, registration, or exclusive rights in third-party elements.

  1. Customer supplied merchandise

If we accept garments or other items you supply for decoration, disclose their material, condition, care restrictions, and replacement value. We may decline unsuitable items or require a sample test. We will disclose any identified material-specific production risk before you authorize the work.

We are not responsible for damage caused solely by an undisclosed preexisting defect or an inherent material condition that reasonable care could not prevent. This is not a release of responsibility for our failure to use reasonable care or any liability that law does not allow us to exclude.

  1. Production timing shipping and delays

Production time and carrier transit time are separate. We will disclose any required payment, complete specifications, usable artwork, or proof approval relevant to the stated schedule before purchase. We will ship within the time stated in the offer or accepted order. If no shipment time is stated, we will ship within 30 days after receiving a properly completed order, as required by applicable law.

If we cannot ship on time, we will notify you by the applicable deadline, explain the revised shipment date or uncertainty, and offer the legally required choice of consenting to the delay or canceling for a full refund of unshipped merchandise. We will obtain consent where required and cancel and refund if the law requires cancellation. Supplier problems, carrier disruptions, events beyond our control, or a custom-order designation do not remove these obligations.

Tell us about an event deadline before ordering. A deadline is guaranteed only if we expressly accept that guarantee in writing, without limiting any other binding promise or legal remedy. Rush service does not create an unstated delivery guarantee.

  1. Delivery addresses and missing packages

We ship to the United States destinations available at checkout. Orders may arrive in separate shipments from production partners; additional shipping charges require your prior approval. You must provide an accurate, deliverable address and promptly report needed corrections. Address changes may not be possible after shipment.

If a package is returned because of an address error you supplied or an unjustified refusal, we may charge actual additional delivery costs after disclosing them and obtaining your agreement. A package returned to us does not automatically cancel the order or forfeit your payment.

If an order is lost, damaged in transit, or shown as delivered but not received, contact us at https://gradusmg.com/contact/. We will investigate with the carrier and provide the replacement, refund, or other remedy required by the agreement and applicable law. A tracking scan alone does not conclusively resolve a delivery dispute. After confirmed delivery to the correct address or your authorized recipient, subsequent loss is your responsibility except where law provides otherwise.

  1. Returns for customized products

Customized, personalized, printed, embroidered, engraved, or otherwise made-to-your-specification goods are final sale for changes of mind after production begins. We do not offer a voluntary return or exchange because you selected the wrong size or color, approved incorrect content, canceled an event, or no longer need the goods, if we accurately fulfilled the approved order.

Final sale does not apply to our production errors, defective goods, material differences from the agreed order, missing items, or refunds and other remedies required by law. Custom samples follow the same distinction.

  1. Returns for noncustom products

For merchandise that was not customized, you may request a voluntary return within 30 calendar days after delivery. Items must be unused, unwashed, unaltered, and in resalable condition, with their accessories and original packaging where available. Provide your order number or other proof of purchase. Items clearly identified as final sale before purchase are excluded from this voluntary policy, but not from legal remedies for defects or other failures.

Contact us at https://gradusmg.com/contact/ for return instructions and dispatch an eligible return within 14 calendar days after receiving those instructions. You pay return shipping for a change-of-mind return. We refund the item price and applicable tax; the original, separately disclosed shipping charge is not refunded unless required by law or agreed otherwise. We do not charge a restocking fee under this policy. Exchanges depend on availability.

  1. Defects incorrect items and other order problems

Inspect your order and contact us at https://gradusmg.com/contact/ as soon as you discover a problem, preferably within 14 calendar days after delivery. Include the order number, affected quantity, a description, and photographs if reasonably available. This requested reporting period is not a deadline that cancels a warranty or other legal right. Retain the affected goods and packaging while we arrange a reasonable inspection or return, where practical.

If goods are defective, damaged before proper delivery, materially different from the approved order, or incomplete, we will provide the repair, replacement, refund, or other remedy to which you are entitled. We will cover reasonable return shipping required to resolve our error or a covered defect. Where a refund is due, it will include applicable taxes and shipping amounts required by law. We will not substitute store credit for a required monetary refund without your agreement.

  1. Refund processing

Refunds are issued to the original payment method when available, or by another lawful method agreed with you. For an eligible voluntary return, we process the refund within 10 business days after receiving the return and information reasonably necessary to process it, and never later than the applicable legal deadline.

For cancellation of unshipped merchandise because of a shipping delay or our inability to fulfill the order, we issue the required refund within seven calendar days after your right to it arises, or sooner if law requires. Your financial institution may need additional time to display a refund; that does not extend our deadline for issuing it.

  1. Wholesale and resale orders

Minimum quantities, volume prices, and approved resale exemptions are those stated in the accepted order. Unless separately agreed, wholesale purchases do not grant exclusive distribution rights or a promise of resale profit. A reseller is responsible for its own advertising, customer promises, and lawful resale activities. This does not reduce our obligations for the goods we supply or permit removal of required product labels or warnings.

  1. Warranties and product care

We honor the product descriptions, express promises, and warranties applicable to your purchase. Any manufacturer warranty is in addition to, not a replacement for, rights you have against us under law. Ordinary wear, misuse, or failure to follow reasonable care instructions is not by itself a manufacturing defect.

No general website disclaimer, final-sale designation, or provision of these Terms excludes a warranty, product liability claim, or consumer remedy that applicable law does not permit us to exclude.

  1. Business purchase liability and supplied content claims

For purchases primarily for business use, and only to the extent permitted by law, we are not liable for indirect or consequential losses such as lost profits, lost opportunities, or event expenses. Our total liability for an affected business order is limited to the amount paid for its affected goods or services. These limits do not restrict refunds we owe, fraud, willful misconduct, gross negligence, injury to a person, damage to other property, or liability that cannot lawfully be limited. They do not apply to purchases primarily for personal, family, or household use.

For business purchases only, you agree to reimburse reasonable defense costs and damages finally awarded on a third-party claim to the extent caused by your breach of the artwork and permissions obligations. This does not cover claims caused by our unauthorized changes, negligence, or misconduct. We will notify you promptly, allow reasonable participation in the defense, and obtain your approval before a settlement that creates an obligation for you.

  1. Communications and privacy

Provide current contact information so we can send receipts, proofs, production questions, delay notices, and other order communications electronically. We handle personal information under our posted privacy policy and applicable law, including sharing information needed by payment, production, and delivery providers. Agreeing to purchase Terms does not by itself consent to marketing text messages or waive privacy rights.

  1. Disputes Wyoming courts and governing law

Contact us at https://gradusmg.com/contact/ about a problem so we can try to resolve it. This request does not prevent you from disputing a charge, contacting a regulator, posting an honest review, bringing an eligible small-claims case, or using another legal remedy. It does not shorten any legal deadline.

California law and applicable federal law govern purchases under these Terms, without depriving a consumer of mandatory protections of the law that otherwise applies to them.

To the fullest extent permitted by applicable law, all litigation arising out of or relating to these Terms or any purchase, product, or service must be brought and conducted exclusively in the state courts located in the State of Wyoming or, where federal subject-matter jurisdiction exists, in the United States District Court for the District of Wyoming. You and Gradus, LLC, operating as Gradus Marketing Group, consent to the personal jurisdiction and venue of those courts. This requirement applies to both consumer and business purchases. It does not waive mandatory consumer protections or any nonwaivable right to bring a claim in another court. These Terms do not require mandatory arbitration or a waiver of class-action rights.

  1. Versions interpretation and continuing rights

The version made available and accepted when you place your order governs that order. Later changes apply to later orders unless you separately agree to a lawful change. We will provide a copy of the applicable version on request through https://gradusmg.com/contact/. These Terms and the accepted order form the purchase agreement, subject to written amendments accepted by both parties.

If a provision is unenforceable, the remaining provisions continue to the extent they can lawfully operate. A failure to enforce one provision is not a waiver of another right. The English and Spanish versions are intended to have the same meaning; any discrepancy will be interpreted consistently with applicable law and will not be used to reduce a customer’s mandatory rights.
